Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by Maple Online Solutions ("we," "the Company"), with its principal office at 1338 Wellington St. W, Ottawa, Ontario K1Y 3B7, Canada. By using our services, you agree to be bound by these Terms.

1. Services

Maple Online Solutions provides web design, SEO, social media management, platform development, and digital consulting services for Canadian businesses. Specific services, timelines, and deliverables are defined in signed quotes and contracts between the parties.

2. Acceptance of Terms

By signing a service contract, making a payment, or using our client portal, you agree to these Terms in their entirety. If you do not accept these Terms, please do not use our services.

3. Service Contracts

3.1 Scope of Services

Each engagement is governed by a separate service contract specifying the scope of work, timelines, pricing, and conditions. Any scope changes must be approved in writing by both parties.

3.2 Delivery Timelines

Delivery timelines are estimates and may be affected by client delays (providing content, approvals, revisions). Maple Online Solutions cannot be held responsible for delays caused by the client.

4. Payment Terms

• Web design projects typically require 50% at contract signing and 50% at final delivery.
• Monthly services (SEO, social media) are invoiced in advance at the beginning of each month.
• All prices are in Canadian dollars (CAD) and are subject to applicable GST/HST.
• Late payments (more than 15 days) may incur a late fee of 2% per month.
• Maple Online Solutions reserves the right to suspend services in the event of non-payment.

5. Intellectual Property

5.1 Client Ownership

Upon receipt of full payment, the client obtains full ownership of the delivered website, custom designs, and content created specifically for them.

5.2 Maple Online Solutions Ownership

Maple Online Solutions retains rights to its proprietary source code, tools, frameworks, methods, and know-how, including elements reused in other projects.

5.3 Third-Party Content

Licenses for stock images, fonts, plugins, and other third-party resources are the client's responsibility, unless otherwise specified in the contract.

6. Limitation of Liability

To the fullest extent permitted by law:

• Maple Online Solutions will not be liable for indirect, incidental, special, or consequential damages.
• Maple Online Solutions' total liability will not exceed the total amount paid by the client in the previous 3 months.
• Maple Online Solutions does not guarantee specific results in terms of SEO rankings, traffic, or sales.

7. Termination

Either party may terminate monthly services with 30 days written notice. The client is responsible for all payments due up to the effective termination date. For ongoing projects, cancellation may incur fees based on work completed.

8. Confidentiality

Both parties agree to maintain the confidentiality of any sensitive business information shared in the context of the service relationship. This obligation survives termination of the contract for a period of 2 years.

9. Force Majeure

Neither party will be held responsible for delays or failures caused by events beyond their reasonable control (natural disasters, internet outages, pandemics, government actions).

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and applicable federal laws of Canada. Any dispute will be subject to the exclusive jurisdiction of the courts of Ottawa, Ontario, Canada.

11. Modifications

Maple Online Solutions reserves the right to modify these Terms at any time. Significant changes will be communicated with 30 days' notice to active clients.
